Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of ETapri, a commerce platform operated by InnoPay Ecommerce & Trading FZCO ("ETapri," "we," "us," or "our"), a Freezone Company registered under trade licence number 38027, issued by the Dubai Integrated Economic Zones Authority (DIEZ) — encompassing IFZA and Dubai Silicon Oasis — with its registered address at IFZA Properties, Dubai Silicon Oasis (DSO-IFZA), Dubai, United Arab Emirates. By creating a merchant account, signing up for a plan, or otherwise using ETapri, you ("Merchant," "you") agree to be bound by these Terms. If you are agreeing on behalf of a business, you confirm you have the authority to bind that business.

2. What ETapri Provides

ETapri is a commerce platform for merchants across Saudi Arabia, Kuwait, the UAE, Qatar, Bahrain, and Oman, providing a branded online storefront, WhatsApp-integrated checkout, integrated payment gateway access, delivery scheduling tools, and — depending on your plan — point-of-sale and admin dashboard functionality. ETapri is infrastructure that you use to run your own retail business; it does not itself sell, own, or take title to any products or services you list.

3. Eligibility and Account Registration

To use ETapri, you must operate a legitimate business capable of accepting orders and fulfilling deliveries in one or more of our supported markets, and you must provide accurate business information, including a valid trade licence where applicable, during onboarding. Payment gateway activation is subject to review and approval by our banking and payment partners, which may take approximately 7–10 working days from submission of complete documentation. You are responsible for keeping your account information current and for all activity that occurs under your account.

4. Fees and Billing

Plan subscription fees are billed monthly in advance, in the currency shown at checkout or as otherwise agreed. A one-time setup fee applies to new merchant onboarding, starting from AED 999, and may be waived or discounted as part of a time-limited promotional offer (such as a "founding merchant" offer); the terms of any such offer will be stated at the time it is presented. ETapri does not charge a commission on your sales under any current plan. Fees are exclusive of applicable VAT unless stated otherwise, and you are responsible for any VAT or other taxes applicable to your own sales to your customers.

5. Payment Processing

Payments from your customers are processed through licensed third-party payment gateways and networks (which may include MyFatoorah, Visa, Mastercard, Mada, and buy-now-pay-later providers such as Tabby). ETapri does not itself hold or custody customer funds; funds are settled to you by our payment partners according to their own settlement terms and schedules, which are separate from these Terms.

6. Your Responsibilities as a Merchant

• You are solely responsible for the accuracy of your product listings, pricing, descriptions, and availability.
• You are responsible for complying with all applicable laws in the markets where you sell, including consumer protection, VAT/tax, and product-specific regulatory requirements.
• You are responsible for fulfilling orders, honoring your own stated delivery timelines, and handling your own customers' order issues, returns, and refunds (see our Refund Policy for the distinction between platform fees and your own customer-facing policies).
• You may not use ETapri to list or sell illegal goods or services, or to engage in fraudulent, deceptive, or abusive conduct toward customers or toward ETapri.

7. Your Content and Data

You retain ownership of your product catalog, brand assets, and the customer data generated through your store. You grant ETapri a limited license to host, display, and process this content solely to provide the service to you. You may request an export of your catalog and order data at any time; see our Privacy Policy for details on how customer data is handled.

8. Service Availability and Support

We aim to keep ETapri available and reliable, but the service is provided without guarantee of uninterrupted availability. Planned maintenance will be communicated in advance where practical. Support is provided via WhatsApp for all plans; merchants on our Privé plan receive a dedicated account manager.

9. Termination and Cancellation

ETapri is billed monthly with no fixed-term lock-in. You may cancel your subscription at any time, effective at the end of your current billing cycle. We may suspend or terminate an account that violates these Terms, engages in fraudulent activity, or fails to pay applicable fees, after reasonable notice where circumstances allow.

10. Intellectual Property

The ETapri platform, including its software, design, and branding, is the property of InnoPay Ecommerce & Trading FZCO and is protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of the platform to you.

11. Limitation of Liability

To the maximum extent permitted by law, ETapri and InnoPay Ecommerce & Trading FZCO will not be liable for indirect, incidental, or consequential damages arising from your use of the platform, including loss of profits or business opportunity, except where such liability cannot be excluded under applicable law.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active merchants in advance of taking effect. Continued use of ETapri after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the onshore federal and local laws of the United Arab Emirates, including the applicable rules and regulations of the Dubai Integrated Economic Zones Authority (DIEZ) governing InnoPay Ecommerce & Trading FZCO's registration in Dubai Silicon Oasis, Dubai. Any dispute arising from or relating to these Terms will be subject to the exclusive jurisdiction of the onshore courts of the Emirate of Dubai and the federal courts of the United Arab Emirates (as distinct from a common-law "free zone" court system such as the DIFC Courts or ADGM Courts), unless the parties agree in writing to a different venue, or unless mandatory local law in another market where you operate requires otherwise.
